For avoidance of doubt, shaanng.com is operated by Elefond (UEN 53513285M), a sole proprietorship registered in Singapore. Elefond operates under the brand names “Shaan Ng” and “Shaan Photo”.

This term of service agreement is to be read and understood by the Client (“Client”), Elefond (“Elefond”) and Elefond’s Represented Photographers (“Photographer”). It is to be agreed by the Client prior to executing the assignment or project. By confirming the booking, making payment, or proceeding with the assignment, the Client is deemed to have accepted these terms. This agreement is structured into two parts for ease of understanding

PART ONE - CLIENT EXPERIENCE SUMMARY

This section explains the key terms of your engagement in a clear and accessible way. The full legal terms are set out in Part Two.

Your Booking
A non refundable deposit is required to confi rm and reserve your session. This ensures dedicated time, preparation, and exclusivity for your assignment. Full payment is required prior to final image delivery.

Delivery Timeline
Proof images are typically delivered within two to six weeks. Final edited images and completed products are typically delivered within two to eight weeks depending on project scope and complexity.

Image Selection
You will have up to sixty days to complete your image selection after receiving your proofs. If selection is delayed beyond this period, storage and handling fees may apply. Images not selected within ninety days may be removed from active storage.

Cancellations and Rescheduling
We understand that schedules may change. Rescheduling is available with at least fourteen (14) days’ notice, subject to availability. All deposits paid are non-refundable and will be forfeited in the event of cancellation. For rescheduling requests made within seventy-two (72) hours of the scheduled session, the deposit may also be forfeited where reserved studio time, third party services, or production costs cannot reasonably be recovered. Failure to attend the scheduled session without prior notice will be treated as a cancellation. In the case of weather affected outdoor sessions, rescheduling will always be prioritised over cancellation where reasonably possible.

Additional Work
Any additional time, subjects, or image requests outside the agreed scope are considered supplementary services and will be billed separately.

Creative Direction and Editing
All images are carefully selected and edited in accordance with Elefond’s signature style and artistic direction. Once delivered, images are considered final and are not subject to rejection based on stylistic preference.

Image Rights and Copyright
Elefond retains full copyright of all images created. You are granted a usage licence based on the agreed terms stated in your invoice. If full ownership is required, this must be agreed in writing prior to delivery through a separate copyright buyout.

Portfolio and Confidentiality
Elefond may feature selected work for portfolio and promotional purposes unless otherwise agreed in writing. For sensitive or confidential projects, discretion will always be exercised, and images may be presented without identifying details. Where an embargo is agreed for enterprise projects, images will not be shared publicly for a defined period.

Responsibility and Permissions
You are responsible for ensuring all necessary permissions for locations, subjects, and usage have been obtained.

Overseas Assignments
For overseas projects, travel, accommodation, and production related expenses will be discussed and agreed in advance

PART TWO - LEGAL TERMS AND CONDITIONS

1. Deposit, Payment and Late Fees
A non refundable deposit is required upon booking to secure the assignment. This covers reservation of time and production resources. Full payment is required prior to delivery of final images. Late payment interest may be charged at zero point five percent per week or the maximum permitted under applicable law, whichever is lower. All bank charges and transaction fees are borne by the Client.

2. Proofing and Selection Period
Proof images will be delivered within two to six weeks unless otherwise agreed in writing. The Client is required to complete selection within sixty days of delivery. A storage and administrative fee of fifty dollars per month may apply after this period. Images unselected after ninety days may be deleted without further notice. Archived recovery, if available, is subject to a one hundred dollar retrieval fee.

3. Cancellation, Rescheduling and Weather
All deposits paid are non-refundable and will be forfeited in the event of cancellation. Additional costs already incurred, including third party venue bookings, hair and makeup services, assistants, or logistics fees, remain fully payable by the Client.
Rescheduling is available with a minimum of fourteen (14) days’ notice, subject to availability. For rescheduling requests made within seventy-two (72) hours of the scheduled session, the deposit may also be forfeited where reserved studio time, third party services, or production costs cannot reasonably be recovered.
Failure to attend the scheduled session without prior notice will be treated as a cancellation.
For weather affected outdoor assignments, rescheduling will always be prioritised. Where cancellation is mutually agreed on the day due to severe weather conditions, up to fifty percent (50%) of the deposit may be retained to cover preparation and allocation costs.

4. Additional Charges
Any work outside the agreed scope including extended time, additional subjects, or additional deliverables will be billed at prevailing studio rates.

5. Production Timelines
Retouching typically requires two to eight weeks depending on volume, at an estimated pace of approximately ten images per week. Prints and albums may require up to eight weeks depending on production complexity and vendor timelines.

6. Copyright and Licensing
Elefond retains full copyright ownership of all images created. All usage rights granted to the Client are licensed only and do not transfer ownership unless explicitly agreed in writing.

Personal and Corporate Licence -This licence permits usage for personal branding, corporate profiles, websites, internal communications, and non advertising promotional materials. Images must not be materially altered in a way that misrepresents the original work.

Commercial and Advertising Licence - This licence permits usage in advertising, marketing campaigns, editorial features, and promotional materials across digital and print platforms. It includes use by appointed third party agencies acting on behalf of the Client for approved purposes.

Copyright Buyout -Full ownership transfer must be agreed in writing prior to delivery. Without such agreement, all copyright remains with Elefond. Payment for services does not constitute transfer of copyright or implied ownership rights.

7. Artistic Control
Elefond retains professional creative discretion over the photographic process, including composition, lighting, editing, and final image selection, in accordance with its established visual standards. Images not selected for delivery remain part of the studio archive and are not released. Photography is a creative service and natural variation in interpretation is part of the process. Requests for additional edits or alternative versions may be accommodated at the studio’s discretion and will be subject to additional charges.

8. Releases and Portfolio Use
The Client consents to the creation and processing of images during the assignment. Elefond may use selected images for portfolio, exhibitions, competitions, publications, and marketing unless otherwise agreed in writing. Where confidentiality is required, such requirements shall be governed by Clause 9 (Embargo) and Clause 15 (Relationship with Client Agreements). Images may, where appropriate, be used in anonymised form. Where a copyright buyout is in place, portfolio usage is governed strictly by that agreement. The Client confirms that all necessary permissions have been obtained and agrees to indemnify Elefond against related claims. Portfolio and promotional use of images is subject to Clause 14 (Personal Data Protection), Clause 9 (Embargo where applicable), and Clause 15 (Relationship with Client Agreements).
Where reasonable confidentiality requirements exist, Elefond may anonymise or de-identify subjects while retaining portfolio usage rights.

9. Embargo (Enterprise Clients)
Where mutually agreed in writing by the parties prior to commencement, an embargo period may apply restricting public portfolio use of images by Elefond. Such restriction shall apply only for the defined duration of the embargo and does not constitute a transfer or waiver of copyright or long term portfolio rights. The standard embargo period ranges from three to twelve months from final delivery unless otherwise agreed. During this period, images will not be publicly shared or published by Elefond. Upon expiry, portfolio rights automatically resume unless otherwise specified in writing. Embargo arrangements are intended to balance commercial confidentiality requirements with portfolio usage rights and shall not constitute a transfer or waiver of copyright.

10. Independent Artists
Where third party hair or makeup artists are engaged, Elefond is not responsible for their services, products, or any resulting reactions. Clients must communicate allergies or sensitivities directly to the relevant artist.

11. Failure to Perform
In the event of unforeseen circumstances including illness, emergencies, or force majeure events, both parties will make reasonable efforts to reschedule. If rescheduling is not possible, a refund of the deposit will be issued and neither party shall hold further liability. In cases of technical failure not caused by negligence, Elefond will offer a reshoot or refund of the deposit. A substitute photographer of comparable standard may be assigned where necessary.

12. Pre Production and Overseas Work
For overseas assignments, Clients are responsible for all travel and accommodation costs for crew and related personnel. Pre production planning and coordination may be charged separately as agreed. All logistics including flights, accommodation, travel days, scouting, standby, and rest days will be billed in accordance with pre agreed terms.

13. Liability and Indemnity
The Client is responsible for all use of delivered images and agrees to indemnify Elefond against any claims arising from misuse, unauthorised distribution, or breach of licensing terms. The total liability of Elefond arising out of or in connection with this Agreement, whether in contract, tort, or otherwise, shall be limited to the total fees paid by the Client for the specific assignment. In no event shall Elefond be liable for any indirect, incidental, consequential, or special damages, including loss of profits, business, or reputation.

14. Personal Data Protection (PDPA)
Elefond collects, uses, and processes personal data, including photographic images of identifiable individuals, for the purpose of providing photographic services, post production, delivery of commissioned work, and related professional activities. By engaging Elefond, the Client acknowledges and consents on behalf of themselves and all subjects involved in the assignment that such personal data may be collected and used for the performance of the contracted services. The Client shall ensure that all individuals photographed have been informed of and have consented to such processing where required under applicable law.

Personal data may also be used for portfolio, exhibition, publication, or marketing purposes only where permitted under Clause 8 (Releases and Portfolio Use), or where consent has been obtained in accordance with applicable data protection laws. Personal data will be retained only for as long as necessary for business and legal purposes.

15. Governing Law and Communication

The Client confirms they have had the opportunity to review these Terms prior to engagement. This agreement is governed by the laws of the Republic of Singapore. Written communication via email or messaging platforms shall constitute binding instructions between both parties.

16. Relationship with Client Agreements
This Agreement represents the primary terms governing the provision and use of photographic services and creative works by Elefond. Any Non Disclosure Agreement (NDA) or external agreement provided by the Client shall apply strictly to the protection of confidential business information, operational information, or data explicitly defined as confidential within such agreement. For the avoidance of doubt, photographic works, including images, negatives, digital files, and derivatives, are not intended to be treated as confidential information under this Agreement, All ownership, licensing, usage rights, portfolio usage, and copyright remain governed by this Agreement unless expressly varied in writing and signed by both parties.

Where both this Agreement and a Client NDA apply, the parties agree to interpret such documents in a commercially reasonable manner, giving effect to both where possible. In the event of direct and irreconcilable conflict, the parties shall confer in good faith to resolve such conflict before any enforcement action is taken. Any restriction on portfolio use or publication shall only be valid if expressly agreed in writing by Elefond.
